Ba's current deal expires in 2014 and the Toon are keen to tie him down to a new contract, which will remove the clause.
It can be activated by a Premier League club in any transfer window and has stalled contract negotiations with the Senegalese frontman.
After the Magpies' 3-0 victory over Wigan on Monday night, Pardew confirmed his frustration over the clause.
"Demba is a player who loves it here and he understands it is a football city," he told SkySports.
"We've tried to do a deal with him and take the clause out and that's probably where the speculation is.
"The clause is always hanging over us and it makes it difficult for us, the club and him. We accept that and that's the way football is."
